Terms and Conditions of Sale and Use

1. Media Ownership

All images, videos, and other content created and/or provided by Crisis Visuals remain the exclusive property of Crisis Visuals until full payment for the service has been received. In the event of non-payment, Crisis Visuals reserves the right to retain all rights to use and exploit the works produced.

2. Right of Withdrawal and Order Cancellation

Any cancellation made more than 5 calendar days after the quote is accepted (and/or more than 10 days before the project date) may result in a cancellation fee of up to 30% of the quote amount. This fee covers the preparation costs incurred by Crisis Visuals.

3. Changes and Additional Fees

Any intentional exceeding of the established fixed rates, or the addition of services during the course of the project, may result in additional charges. These charges will be calculated based on the additional work performed and will be billed separately, in accordance with current rates.

4. Performance and Collection Guarantees

Crisis Visuals is committed to providing professional-quality services and to taking all necessary steps to achieve the objectives defined with the client. However, since Crisis Visuals’ services are creative and subjective in nature, we cannot guarantee that the final result will exactly match the client’s subjective perceptions or expectations. Revisions and adjustments are possible within the limits of the options agreed upon in the initial quote; otherwise, they will be subject to additional charges.

5. Responsibilities and Authorizations

The client warrants that it has all necessary legal authorizations for the use and distribution of the images produced, and that it has fulfilled its duty to inform the individuals captured in the images or videos. Crisis Visuals shall not be held liable in the event of any dispute related to the image rights of the individuals depicted.

6. Right of Use and Promotion by Crisis Visuals

Crisis Visuals reserves the right to use the images created as part of the project to promote its business (portfolio, website, social media, etc.). This use is limited exclusively to the promotion of Crisis Visuals, and no third-party commercial use is permitted without the client’s express authorization.

7. Payment Terms and Late Payment Penalties

Payments are due within 30 calendar days of receipt of the invoice, unless otherwise agreed in writing. In the event of late payment, late payment interest in accordance with Swiss law (5% per annum pursuant to Art. 104 of the Swiss Code of Obligations) may be charged. In the event of non-payment, Crisis Visuals reserves the right to suspend any current or future services until full payment has been received.

8. Intellectual Property Rights in Works Created Outside the Scope of the Engagement

All designs and concepts developed outside the strict scope of the engagement, including those that were not selected or invoiced, remain the exclusive property of Crisis Visuals. The client agrees not to reproduce, distribute, or use these designs without the prior written consent of Crisis Visuals.

10. Governing Law and Jurisdiction

These Terms and Conditions are governed by Swiss law. In the event of a dispute, the parties agree to submit to the exclusive jurisdiction of the courts of the Canton of Vaud.
